These Terms and Conditions (“Terms”) govern your use of services provided by Geek Powered of WI, LLC. (“Geek Powered,” “we,” “us,” or “our”). By using our website, engaging our services, or entering into a project with us, you agree to these Terms.

1. Services

Geek Powered provides web development, applications development, web hosting, hardware and software upgrades and lifecycle support, technology related & business optimization and analysis consulting, and related technical support services for consumers and businesses.

2. Quotes, Scope, and Change Requests

  • Quotes and proposals are estimates unless otherwise stated in writing.
  • Work outside approved scope may require a change order, additional fees, or schedule updates.
  • Client-requested revisions are included only as described in the applicable proposal or agreement.

3. Client Responsibilities

  • Provide accurate and timely content, approvals, credentials, and business information.
  • Ensure rights to all materials supplied to Geek Powered (text, images, logos, data, etc.).
  • Review deliverables promptly and communicate required revisions in writing.

4. Payments and Billing

  • Invoices are due according to invoice terms or written agreement.
  • Late balances may result in paused work, delayed delivery, or suspension of managed services.
  • Unless stated otherwise, fees are non-refundable once work is performed.

5. Hosting, Third-Party Platforms, and Subscriptions

Some services rely on third-party providers (for example: domain registrars, cloud platforms, ad networks, payment providers, plugins, and software vendors). Geek Powered is not responsible for third-party outages, policy changes, account suspensions, or platform-specific limitations.

Where applicable, client is responsible for third-party subscription costs unless explicitly included in writing.

6. Intellectual Property

Client retains ownership of pre-existing client content and trademarks. Upon full payment of applicable invoices, client receives rights to final approved deliverables specifically created for the client, except for:

  • Geek Powered proprietary tools, methods, templates, scripts, and internal frameworks,
  • third-party licensed components, and
  • open-source software governed by its own license terms.

7. Support and Response Times

Support is provided according to your plan or written agreement. Response times are targets, not guarantees, unless expressly stated in a service-level agreement (SLA).

8. SMS Messaging Terms (Text Message Program)

Geek Powered may send SMS/text messages to customers who opt in or who initiate a text conversation with us. These messages may include:

  • Support and service communications (for example, troubleshooting and ticket updates)
  • Scheduling and logistics (for example, pickup/drop-off coordination and appointment reminders)
  • Account or service notifications related to your request

Message Frequency: Message frequency varies based on your interaction; up to 10 messages per month.

Cost: Message and data rates may apply.

Opt-Out: Reply STOP to opt out at any time. You will receive a confirmation message and will no longer receive SMS messages unless you re-subscribe.

Consent / No Purchase Required: Consent to receive text messages is not a condition of purchase.

9. Confidentiality

Each party agrees to keep non-public business, technical, and account information confidential and to use it only as necessary to perform services or meet legal obligations.

10. Warranties and Disclaimer

Geek Powered provides services in a professional and commercially reasonable manner. Except as expressly stated in writing, services are provided “as is” and “as available,” without guarantees of specific business outcomes (including rankings, traffic, leads, or revenue).

11. Limitation of Liability

To the maximum extent permitted by law, Geek Powered is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption. Geek Powered’s total liability for any claim arising out of services is limited to the amount paid by client for the specific services giving rise to the claim in the 3 months preceding the event.

12. Indemnification

Client agrees to defend, indemnify, and hold harmless Geek Powered from claims arising from client-supplied content, client misuse of deliverables, or client violation of law or third-party rights.

13. Termination

Either party may terminate ongoing services with written notice, subject to any minimum term commitments in writing. Client remains responsible for payment of completed work, approved work in progress, and non-cancellable third-party costs.

14. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of laws principles.
